Carlyle To Buy Tyco South Korea Security Unit For $1.93 Billion

March 3 (Bloomberg) — Carlyle Group LP agreed to buy Tyco International Ltd.’s fire and security business in South Korea for $1.93 billion, the country’s largest private-equity buyout deal in U.S. dollar value in more than five years. Tyco is selling Tyco Fire & Security Services Korea Co. and units that form the ADT Korea security business, the company said today. Switzerland-based Tyco said net cash proceeds are expected to be $1.85 billion, and the board added $1.75 billion to its stock buyback authority, for a total of $2 billion. “ADT Korea is a highly stable and profitable business with attractive market positioning, strong brand power and excellent cash flow profile,” Sanghyun Lee, managing director on the Asia buyout team for Washington-based Carlyle, said in a statement. Lee said South Korea’s security industry is “under- penetrated.” Carlyle’s purchase follows investments of more than $920 million of equity in 17 transactions in South Korea as of Dec. 31, 2013 and is also the largest private-equity buyout in the country since 2008, according to the company. The firm’s current and former investments in Korea include KorAm Bank, Hyundai HCN, EO Technics, Tapex and Yakjin Trading. Equity for the transaction will come from Carlyle Asia Partners IV and Carlyle Partners VI, Carlyle said. Carlyle Group has committed debt financing from Korea Exchange Bank, Kookmin Bank, Industrial Bank of Korea, Korea Investment & Securities and UBS AG. Siemens Launches Managed Security Services Model To Help Combat Cyber Threats

A managed security service model in the physical security space is not a new concept. Physical security vendors and systems integrators have found that migrating services to either a cloud-based option or enhancing their customer service and value-added proposition can be a game-changer and a differentiator that increases revenue and ensures a loyal customer base. Large security solutions providers like Tyco have been helping their customers improve their operating efficiencies through a suite of web-enabled commercial security services for some time.  The managed security service helps clients manage everything from physical card access control and video surveillance, to alert notifications that can quickly spread emergency messaging via mobile devices. KKR, Bain Among Bidders For Tyco’s South Korean Unit

KKR & Co LP and Bain Capital are among suitors which have placed initial bids for Tyco International Inc’s South Korean security systems unit, a business valued at about $1.6bn, people familiar with the matter said. Billion-dollar buyouts are rare in Asia, but security companies, when they come up for sale, tend to attract much interest from private equity firms as they are valued for their stable revenues. According to Reuters , a sale of ADT Caps, would follow Bain’s $3.4bn purchase of European security firm Securitas Direct in 2011 and Blackstone Group’s acquisition of US firm Vivint Inc for more than $2bn last year. Other bidders for ADT Caps include CVC Capital Partners CVC.UL as well as Hong Kong-based Affinity Equity Partners and South Korea’s MBK Partners, the sources said, declining to be identified as the process is confidential. KKR, Bain, CVC and MBK declined to comment. Tyco and Affinity did not respond to emails seeking comment. Morgan Stanley is advising Tyco on the sale, the sources said. Morgan Stanley declined to comment. Tyco, a provider of commercial fire and security systems, became a much smaller company after the diversified conglomerate Tyco International split up last year.
